Coral Hill Energy Ltd. (Coral Hill) was started in November of 2009 subsequent to the sale of Wave Energy Ltd. (Wave) to Crescent Point Energy Corp. The company was initially formed by the majority of the management team of Wave. The team had developed an approach to oil exploration while at Wave which they believed could be applied to additional areas of Saskatchewan and Alberta. This approach consisted of a four step process to finding new oil resource plays.

The four step approach consists of:

1. Use well data to identify oil bearing lands where newer completions technologies combined with higher oil prices have a good potential to make these reservoirs economic.

2. Acquire meaningful blocks of land on these potential oil resource plays.

3. Drill exploratory wells to test the ability of new completion technologies to produce economic quantities of oil.

4. Develop those resource plays that prove to be economic.

Coral Hill has successfully executed on the first three steps from this approach since inception. The Company has identified several potential oil resource plays and has moved quickly to acquire significant land positions on many of these. Of these plays, the Beaverhill Lake Platform play has evolved into the premium play for the company. As of August 2011, the Company has over 240 net sections of land in this area.

Drilling on the Beaverhill Lake Platform commenced in 2010 and production commenced in the first quarter of 2011. As at the end of August, 2011, the company was producing over 2,400 bbls of light sweet crude oil. Plans for the remainder of 2011 are to continue to drill with up to five drilling rigs to delineate and develop our land position

Capital Structure

Coral Hill Energy Ltd is a privately held company and its shares do not trade on any public stock exchange. The shares of the Company have been available for purchase by accredited investors only. The company has not filed a prospectus and is not required to file any financial reports publically.

Coral Hill currently has 75,404,960 shares outstanding, 5,533,000 options, 3,685,000 warrants outstanding for a total of 84,622,960 shares outstanding on a fully diluted shares basis.

Shares in the Company occasionally change ownership through private transactions. All owners of share in the Company must be accredited investors.

The Company raised $75 million through the issue of 30 million shares in February 2010. The Company also issued 2,500,400 flow-through shares in the fall of 2010 at $3.50/share. In 2011, 24,690,000 shares were issued at $5.85/share which included the sale of 7,180,000 shares to a subscriber who entered a voting, tender and standstill agreement with the Company, pursuant to which the subscriber agreed, among other things, to vote or tender these shares (and any subsequently acquired shares) with regard to an acquisition of greater than 20% of the shares of the Company consistent with the recommendation of the Company’s board of directors provided that certain conditions were met.
